can anybody tell me how do i fade one seen to black and then make it fade into the next scene?

Make the scene a MC. Then go up 10 frames and change the alpha to 0%. Place a motion tween inbetween the frames.

Easy one the same scene just fade it to black. Then when it's fully black goto your other seen and unfade the black.
