Upgrading GPU for GTA V concerns

I just got GTA V which is able to run on my desktop at 720p resolutions and mostly low settings. I was thinking of upgrading my ram and Graphics card. The graphics card I want till have at least 3 GB of video memory. I hear that GTA V will be more CPU dependent with a high end video card. I have an AMD Phenom II 3 GHZ quad core and will not be able to upgrade my CPU without changing out the motherboard. Would this game run fine with a 3 GHZ quad core and where in the game would i see performance drops if the CPU is reaching its limit?

the issue with that is that i have a motherboard that only takes am3, not am3+ CPUS, so i would need to get a new motherboard as well as a new license of windows since i bought the OEM version of windows 7
