Let's start by going over the parts that need work. Lip Sync isn't there, you've got the mouths working as if they're trying to say some really complicated sentence really fast. They don't change shape for different sounds, nor do they hold the long note at the end.
The animation, other than the lips was just the guitar player's hands. The right hand should be drawn so that it looks like it's going to play a guitar (Maybe give it a pick) and it also needs to keep time with the music. The left (top) hand is playing a variety of chords, most of which don't correspond with the music, but I won't hold that accountable, as at least you're making an effort with getting the movement in there.
I'd suggest that you got the characters to move more, as they look a little static. Talking of static, you've got a problem with that on your sound file too.
I'd like to see these problems addressed, but I think that you may not even really care :P
