using a 5.1 surround sound speaker system to play counter strike annoys my neighbors..so..
after hours of shopping and searching, i finally came down with -

i intend to use that one for mostly gaming, right now im searching for music making, something noise canceling, nothing with artifical sounds (bass/treble/etc boost), stereo, at least damn good sound quality, and under 40 dollars.

I wish I lived in your dream world sir :).
Having said that, just get any old pair of headphones, as long as you're only going to be using them for late night sessions. It's generally advised against mixing (and especially mastering) on a set of phones, no matter how good they are.
Plus you'll find your ears start to fatigue alot quicker, especially with a cheaper pair (not just because the sound is muchos closer to you, but because cheap phones are pretty much just incredbily uncomfortable to wear for an extended period of time).

amazon.com obliged. but i didnt like their customer reviews of some of the stuff i wanted to buy for sennheiser, so i came down with this.
im going to be making music first with the headphones, see what it sounds like on my crappy $10 ones, and then my speakers.

Good idea. It's always a good idea to use several points of reference when mixing and mastering. Of course, try not to limit yourself just to computer speakers and headphones. Burn a copy and play it on a car stereo, regular hi-fi system, cheap boom box etc, you'll get a better understanding of how it will translate to the large majority of systems out there (at least the non audiophile stuff anyway ;D)
Sennheiser are obviously a pretty reputable brand, so it should be safe to go with their low - mid priced gear. But yeah, reviews reviews reviews.

you can build a kick ass pair of bookshelf speakers for $40. i did.
as far as buying headphones goes, there are two things to remember:
1) If you've never heard of them, you probably shouldn't buy from them
2) You get what you pay for. Unlike speakers where you can pay 20% extra for the name, headphones are pretty consistent with price. A $200 pair of headphones will sound phenominally better than a $40 pair.
If you want a good pair of headphones, save up your pennies and get a really nice pair. And if you can, test them out before you buy them.

i dont want to spend over $100 on headphones, regardless of their supreior quality. i was seriously considering getting one of the audiophile series from sennheiser, until i saw the price and my eyes popped out of my head.
i think ill just buy what i had in mind, if i dont like it, i can just return it.

Assuming that you store doesn't have a "no return" policy on items such as microphones and headphones ;).
Keep in mind the phones are coming in contact with your head, and whatever bacterial nasties (or lack thereof) which may be lurking within said head ;). For that reason, they can't just whack em back into a box and re-sell them, it's pretty much a safety hazard.

Do you seriously need 5.1 headphones? Headphones are only of use to me when you want to record stuff and you dont want the rest of the track spilling onto it. Just buy some headphones that work and buy better speakers, they're the important things

i use shure e2c's. they rock. And they own any pair of noise cancelling headphones as far as removing outside noise goes. I was on an airplane and it sounded like i was sitting by myself in an empty auditorium. It was awesome.

Sennheiser HD-25sp or Sennheiser HD-280's.
I use the 280s, almost exclusively. I occasionally monitor high-end on my Soliloquy monitors.
