I made the jump to Cubase 5 a while ago, and much of the core functionality and workflow are basically the same. The biggest draw from SX3 would probably be the new plugins, especially the new convolution reverb. The plugins in SX3 were pretty meh at best, but the bundled plugins in 5 are actually quite good. If your projects use a lot of RAM then being able to work in x64 is also a major plus.

It is pretty damn sexy!!! But this is the first time I've used a steinberg product. Well worth the money I think.

It's damn expensive. I made the switch to a 64bit system recently, and my Cubase SX3 has been down since. SX3 just doesn'y work with Vista or WIndows 7, so I have to save up for Cubase 5 now. :'( I still need more money lol.
